Business Bankruptcy

"shop around" for the state with the best possible terms. The Bankruptcy Abuse Prevention and Consumer Protection Act of 2005 requires anyone filing for bankruptcy in a state to have lived in that state for two years prior to the filing.

Companies choose to file Chapter 11 because its long term revenues will be higher than the liquidation value of the assets. This way, creditors can get more money back if they allow the debtor business to reorganize and work out a payment plan. The business becomes a debtor in possession, maintaining control and ownership of their assets and continuing their regular operations. At this point, there is usually no trustee.

A company that declares Chapter 11 must disclose all of its assets and make a list of all the debts that it is seeking protection from. This is the creditors’ right to question the debtor, a fundamental part of bankruptcy law. In cases involving millions or billions of dollars, this step alone can be incredibly complex. The creditors also meet with the debtor.

If the bankruptcy court finds that there has been fraud or gross mismanagement on the part of the debtor, they can appoint a trustee, who will take over the operations of the debtor for the duration of the proceeding. The business continues to operate as normal, but the original owner is no longer in control. Trustee to each district. Trustee serves as a watchdog over bankruptcy cases and may act as the trustee in a proceeding.

While under Chapter 11, a company can only make the usual sales and purchases that are part of its standard business operations. For example, it can’t buy out another company, sell off a division of the company, or sell a major piece of equipment or property without approval from the court. It can’t undergo a major expansion, either.

In all Chapter 11 proceedings, a creditors’ committee represents the majority of the unsecured creditors, and negotiates the best possible payment options for them. Large scale cases may have multiple creditors’ committees, each representing different groups and factions of the creditors. Stockholders can also form a committee.

At this point, the debtor formulates a plan to reorganize its debts. This plan can be a simple as a payment plan. With larger bankruptcies, companies may take many steps to reorganize their debt. They might offer stock to some creditors. A retail business might have to close stores, lay off employees, or renegotiate union contracts. One of the major provisions of Chapter 11 allows a company to void many of its contracts, including union contracts, contracts with suppliers, and real estate leases.

The debtor can also "avoid" certain payments or purchases that happened in the period prior to the bankruptcy. The usual period is 90 days, but payments or gifts made to friends, family or company insiders have a one year limit (or longer, depending on the state where the bankruptcy is filed). Some payments can be returned to the debtor and become subject to the terms of the reorganization plan. This keeps debtors from manipulating their assets and giving preference to certain creditors.

Once the debtor submits a reorganization plan, the creditors and the company’s stockholders vote on it. Stockholders are generally very low in terms of priority, and even if they vote down the plan, the court can go ahead with it if the creditors approve. Once the court approves the plan, the Chapter 11 bankruptcy is certified and confirmed. Now the debtor must comply with the plan and make the proper payments to the creditors (or to the trustee, if one has been appointed).

It is important to note that during the period of reorganization, the company’s stocks will be virtually worthless. If the company gets out of Chapter 11 and begins operating normally, those stocks can increase in value, but at first they will probably be worth much less than the initial purchase price. Bondholders can sometimes get a fraction of the bonds’ face value as part of the reorganization.

If a debtor violates the terms of the plan, there are several potential consequences. A trustee may be appointed. If it appears that the company will not be able to operate profitably and follow through with repayment plans, the Chapter 11 will be converted into Chapter 7. This is a death sentence for the company.

No one ever goes to jail for being in debt. This is easy to overlook when many high profile corporate bankruptcies follow financial crimes committed by executives or accountants. Financial fraud can lead a company to bankruptcy, and the executives may be prosecuted, but bankruptcy itself is not a crime.

Advantages Disadvantages of Extreme Sports

While some athletes prefer the structure of organized sports, others opt for the freedom of extreme sports. Extreme sports include a multitude of activities, including skateboarding, snowboarding, surfing and BMX. Getting involved with an extreme sport is a great way to meet friends who share similar interests. Many skateboarders, snowboarders and BMXers alike band together to create their own clubs and groups. Regardless of the extreme sport you participate in, with regular riding practices you’ll be able to burn excess calories and tone a multitude of muscles. Performing aerial jumps on a BMX bike will allow you to strengthen your bicep and triceps. Back country snowboarders are known for riding on an unpredictable terrain where avalanches are commonplace. While these off piste riders don’t ride on a groomed slope, hazards such as large boulders and fallen trees can be easily hidden under large deposits of newly fallen snow. Even the smallest misstep can plummet big wave surfers more than 30 feet below the breaking ocean waves. Street riding is a prominent discipline among skateboarders, snowboarders and BMX riders alike. Street riding often takes place on urban obstacles, including stairs and handrails. A major disadvantage of street riding is that most of the spots are private property. According to Transworld Skateboarding, skaters often get tickets for street riding that entail a costly fine. Extreme sports athletes also are commonly prosecuted for defacing property and trespassing.

Exercise and ATP

Introduction to How Exercise Works

When you exercise or compete in sports, you notice several things about your body. You breathe heavier and faster, your heart beats faster, your muscles hurt and you sweat. These are all normal responses to exercise whether you work out regularly or only once in a while or whether you are a "weekend warrior" or a trained athlete. When you watch world class athletes compete, you see the same responses, only magnified.

The body has an incredibly complex set of processes to meet the demands of working muscles. Every system in the body is involved. In this article, we will look at how your body responds to strenuous exercise how muscles, blood circulation, breathing and body heat are affected. You will also see how these responses can be enhanced by training.

Your Body’s Response to Exercise

Any type of exercise uses your muscles. Running, swimming, weightlifting any sport you can imagine uses different muscle groups to generate motion. In running and swimming, your muscles are working to accelerate your body and keep it moving. In weightlifting, your muscles are working to move a weight. Exercise means muscle activity!

As you use your muscles, they begin to make demands on the rest of the body. In strenuous exercise, just about every system in your body either focuses its efforts on helping the muscles do their work, or it shuts down. For example, your heart beats faster during strenuous exercise so that it can pump more blood to the muscles, and your stomach shuts down during strenuous exercise so that it does not waste energy that the muscles can use.

When you exercise, your muscles act something like electric motors. Your muscles take in a source of energy and they use it to generate force. An electric motor uses electricity to supply its energy. Your muscles are biochemical motors, and they use a chemical called adenosine triphosphate (ATP) for their energy source. Just like an electric motor, a working muscle generates heat that it needs to get rid of.In order to continue exercising, your muscles must continuously make ATP. To make this happen, your body must supply oxygen to the muscles and eliminate the waste products and heat. The more strenuous the exercise, the greater the demands of working muscle. If these needs are not met, then exercise will cease that is, you become exhausted and you won’t be able to keep going.

To meet the needs of working muscle, the body has an orchestrated response involving the heart, blood vessels, nervous system, lungs, liver and skin. It really is an amazing system!

Let’s examine each need and how it is met by the various systems of the body.

Exercise and ATP

For your muscles in fact, for every cell in your body the source of energy that keeps everything going is called ATP. Adenosine triphosphate (ATP) is the biochemical way to store and use energy. As the work of the muscle increases, more and more ATP gets consumed and must be replaced in order for the muscle to keep moving.

Because ATP is so important, the body has several different systems to create ATP. These systems work together in phases. The interesting thing is that different forms of exercise use different systems, so a sprinter is getting ATP in a completely different way from a marathon runner!

ATP comes from three different biochemical systems in the muscle, in this order:

phosphagen systemglycogen lactic acid systemaerobic respirationNow, let’s look at each one in detail.

Exercise and the Phosphagen System

A muscle cell has some amount of ATP floating around that it can use immediately, but not very much only enough to last for about three seconds. To replenish the ATP levels quickly, muscle cells contain a high energy phosphate compound called creatine phosphate. The phosphate group is removed from creatine phosphate by an enzyme called creatine kinase, and is transferred to ADP to form ATP. The cell turns ATP into ADP, and the phosphagen rapidly turns the ADP back into ATP. As the muscle continues to work, the creatine phosphate levels begin to decrease. Together, the ATP levels and creatine phosphate levels are called the phosphagen system. The phosphagen system can supply the energy needs of working muscle at a high rate, but only for 8 to 10 seconds.

Exercise and the Glycogen Lactic Acid System

Muscles also have big reserves of a complex carbohydrate called glycogen. Glycogen is a chain of glucose molecules. A cell splits glycogen into glucose. Then the cell uses anaerobic metabolism (anaerobic means "without oxygen") to make ATP and a byproduct called lactic acid from the glucose.

About 12 chemical reactions take place to make ATP under this process, so it supplies ATP at a slower rate than the phosphagen system. The system can still act rapidly and produce enough ATP to last about 90 seconds. This system does not need oxygen, which is handy because it takes the heart and lungs some time to get their act together. It is also handy because the rapidly contracting muscle squeezes off its own blood vessels, depriving itself of oxygen rich blood.

There is a definite limit to anerobic respiration because of the lactic acid. The acid is what makes your muscles hurt. Lactic acid builds up in the muscle tissue and causes the fatigue and soreness you feel in your exercising muscles.

Exercise and Aerobic Respiration

By two minutes of exercise, the body responds to supply working muscles with oxygen. When oxygen is present, glucose can be completely broken down into carbon dioxide and water in a process called aerobic respiration. The glucose can come from three different places:

remaining glycogen supplies in the musclesbreakdown of the liver’s glycogen into glucose, which gets to working muscle through the bloodstreamabsorption of glucose from food in the intestine, which gets to working muscle through the bloodstreamAerobic respiration can also use fatty acids from fat reserves in muscle and the body to produce ATP. In extreme cases (like starvation), proteins can also be broken down into amino acids and used to make ATP. Aerobic respiration would use carbohydrates first, then fats and finally proteins, if necessary. Aerobic respiration takes even more chemical reactions to produce ATP than either of the above systems. Aerobic respiration produces ATP at the slowest rate of the three systems, but it can continue to supply ATP for several hours or longer, so long as the fuel supply lasts.

and slavery make disturbing 2014 holiday news part 1 of 2

On May 4, Nigeria’s President Goodluck Jonathan issued an appeal to the international community for assistance finding and returning the students, who range in age from 16 to 18. President Jonathan stated, "This is a trying time for this country. it is painful," and promised parents that he would not allow the kidnapping to go unsolved.

Video in which the extremist leader of Boko Haram, Abubakar Shekau, claimed responsibility for the kidnappings, surfaced May 5. In the video, Shekau boasted that he intended to sell some of the girls into slavery and force others into marriage. On May 6, additional reports began to emerge that another eight girls, aged 12 to 15, had been abducted from a village near Boko Haram’s suspected stronghold.

Social media, blaring the hash tags BringBackOurGirls and StolenDreams, helped to increase international outrage over the mass kidnapping itself. However, outrage has also intensified over the failure thus far to recover such a large number of young women. It should not, however, be described as an accurate expression of Islam. When the terrorist labels it as such, he is doing nothing more than utilizing guerrilla decontextualization to replace the spiritual goals of the religion with an individual lust for power and a deadly disregard for human life.

When commenters on social media refer to the tragedy as "Islamic" they are doing the same. The act is no more true to the faith than a White American racist’s murder of an African American is true the practice of democracy. In both cases, what is expressed more than anything else is the warped psychology of an individual or group which, without the cloak of religious or political or social idealism, would be viewed as a form of violent psychosis in urgent need or treatment.

The Wikipedia profile of Shekau describes him as "an intellectual and theologian who studied Islam ‘under a traditional cleric.’" The gun wielding individual declaring he intended to sell young women into slavery because the Holy Quran says he should sell in the marketplace is hardly adhering to either the principle tenets of the religion or the universally observed principles of human rights.

What partly makes Shekau’s threat to sell the students into slavery so disturbing is that in 2014 human trafficking still exists and there is in fact a so called "market" that will allow him to do exactly as he has said. The market is as real in Nigeria and neighboring countries as it was and is in the United States of America and other nations. Some reports state a number of the students have already been "sold."

Angelique Kidjo on Power and Gender in Africa

Among the signs carried by women and men protesting the mass kidnapping in Nigeria are those describing the abducted young women as "Nigeria’s future leaders." Fear of that possibility adult women exercising real power seems to be a major part of the problem for members of Boko Haram. In an interview on CNN, world music superstar and Grammy Award winning artist Angelique Kidjo put it this way:

"The issue here is that girls in Africa are considered as property that can be sold and transferred to another man. Education is a threat to Boko Haram and other groups that think that women who are educated are going to go away from the power. And it’s true that when you educate a young girl in Africa you cut off violence, sexual abuse, and you increase the GDP of the country."

michael kors outlet uk 000 a month. In this case she suggests splitting the costs on a 70 percent to 30 percent ratio to make the situation equitable. On a 50/50 split the percentage would be unfair to the partner making less since partner A

Dividing Monthly Household Expenses Between Roommates

EqualityDividing monthly household expenses between roommates equally may be fair and unavoidable in most cases. The most common way of splitting expenses among housemates is by tallying up the total monthly cost of rent and utilities and dividing them equally at the end of the month with each roommate writing out a check for their portion to the one responsible for making sure the bills are paid on time.

According to Suze Orman, dividing the expenses based on a percentage of the people income is a reasonable solution that is fair because it is not equal. Her example shows partner A) makes $7,000 a month and partner B) makes $3,000 a month. Household expenses are $3,000 a month. In this case she suggests splitting the costs on a 70 percent to 30 percent ratio to make the situation equitable. On a 50/50 split the percentage would be unfair to the partner making less since partner A) would only pay 21 percent of her income and partner B) would be paying 50%.

This solution is bound to work for some partners and married people who keep their finances separate but it is unlikely to work for college students seeking housemates to share expenses equally. One thing is for sure, everyone should know how to set a household budget based on their income and expenses.

Fairness and ProfitsAnother alternative is to set the amount others pay without having to reveal how much the living expenses are. Monthly household expenses between roommates can be arranged by the title holder to the property based on his needs, desirability of location and the laws of supply and demand.

An example would be someone who lives in a large property in an area with low crime, great views and is located close to nightlife, business centers and other desirable amenities. The average cost for a one bedroom apartment in the area is $3.000 a month and vacancies are hard to find. In this scenario, our original dweller lives in such an unit but he only pays $2,000 a month because he rented or purchased early on.

Our original dweller places an ad in the newspaper renting two of the three rooms for $1,500 a month to cover his expenses and make a profit. Is this fair and equitable? The answer is yes, because the responders know what the cost of living in the area is beforehand and this arrangement provides them with what they need at a price they can afford.

These types of arrangements have always been popular in Hawaii where space is limited and desirable rentals are hard to come by on a limited budget. Renting a home near the ocean or overlooking majestic mountains or gorgeous beaches requires housemates that are willing to sacrifice some privacy and space for the luxury of stepping outdoors onto a private beach or land expanse. A household of roommates typically provides the full mortgage payments for the title holder and in a tight market where desirable accommodations are not only expensive, but scarce, everyone involved is satisfied. The same can be said for large apartments in New York City and other popular metropolitan areas.

Paying MoreWhile it is common for roommates to divide the cost of living expenses in equal parts, it is usually a source of discontent when someone is perceived to be getting more benefits than the other housemates for the same price. For instance, let take into consideration the following example.

Four roommates choose to rent a four bedroom house equally, but one of the bedrooms is larger than the rest and has its own private bathroom. In this case, it may be more equitable and fair to assign a higher percentage of the rent to the person with that room. This particular example typically happens when housemates are shopping for a place together.

Fixed Expenses vs. Variable ExpensesSome housemates split the rent in equal parts but decide that one should be responsible for the electric bill if the other person is responsible for the water bill. This arrangement is not always fair because energy consumption can be very high during the winter and summer months while the water bill maybe higher during the summer months and negligible the rest of the year.

To avoid resentment and arguments about abusing electricity, heating or taking long showers, housemates should have an idea on what the average monthly cost is for all utilities and set aside an approximate amount to cover the expenses. At the end of the month, utilities should be split in equal portions or in percentage amounts previously agreed by all involved.

Buying vs. RentingPurchasing a house together makes perfectly good sense to friends who would rather build equity together and plan to save money to purchase their own place at some point in the distant future. In this scenario, the situation is a bit different than renting since there is a 15 or 30 year commitment in which all parties are equally responsible.

Everyone should adhere to equal ownership and equal sharing of household expenses that includes property taxes. Everyone should be prepared to have to buy out one or more of their partners at some point. Everyone should be prepared to have to sell the property if no one is able to buy out the shares. Everyone should be fully aware of the real estate market and the ease or difficulty of selling at a profit. Buying a house with people we are not married or related to is not as unusual as some may think and in many cases it has been a successful and profitable endeavor, while in others it has been a disaster that ruined credit scores. Those who have been successful employed clear communication and meeting financial responsibilities on time, as scheduled.

From the sales call today, I got a different flavor on the AF 150 sales situation. Ford said that the AF 150 was 29 percent of retail sales. This leads me to believe that Ford has not said anything about fleet sales of the AF 150. No one has ever asked the question what was the AF 150 percentage of fleet sales. This would indicate that overall Dearborn production has been better than you thought. Ford did say that it is "on plan" with the AF 150 launch. Ford said that it has been "uncanny" how actual F 150 inventory compares to planned F 150 inventory. Also, ATP for March for F Series was up $2,100. With total F Series sales for the month at 67,706 units, this represents an increase in profits of about $142 million. With F Series sales down 3,234 units, and with an assumed average profit of $10,000 per unit, this represents a decrease in profits of about $32 million. Thus, in March, Ford is ahead by $110 million in profits on F Series sales. Last item, the days to turn rate was again 18.

Ford lost share overall and in the crucial full size pick up market in Q 1. Like it or not the numbers were terrible. It’s not the end of the world, but they need to get it fixed in a hurry if they want to hit their numbers for the year.

What shareholders really need to worry about is the ability to maintain pricing discipline and retain market share. So far they haven’t been able to find the balance, which is of particular concern since they should be selling highly contented trucks to the early adopters. The game only gets harder from here.

9 Million at Auction to Help Native Americans

Custer troops carried the flag into the Battle of the Little Big Horn, also known as Custer Last Stand. The Seventh Cavalry attacked a Sioux Nation village and was wiped out in about 20 minutes on June 25, 1876. It how it goes when you send 200 in against thousands.

Custer flag came to be in the hands of the Detroit Institute of the Arts thanks to Sgt. Fred Culbertson finding it under the body of Cpl. John Foley two days after the failed attack. The Detroit News notes that Foley was hidden by tall weeds, so trophy seekers failed to find him.

Custer flag being sold to support Native American arts is indeed fitting. General George Armstrong Custer was a petty, hateful human being trying to become President on the backs of a pile of dead Indians.

Many people look at Custer flag from the Battle of the Little Big Horn and see bravery under impossible odds. Many others see it as a symbol of the embarrassing treatment of America first peoples.

Custer flag should remind everyone that the United States was built out of the blood of thousands, including people whose only sin was living here first. If the Culbertson Guidon can teach that, it will do more than the sale of it will.
